BHBC represents parties concerning employee benefits in all phases of corporate transactions. We have extensive experience in evaluating employee benefit liabilities through due diligence, negotiating representations and warranties with respect to employee benefits, and implementing post-transaction employee benefit plans.
BHBC works diligently with plan sponsors to satisfy the complex regulatory burdens of providing competitive retirement, welfare, and executive compensation plans. We have substantial experience in plan design, from amending retirement and welfare benefit plans to incorporate new features, to conforming to required legislative changes. We handle difficult compliance issues before the Internal Revenue Service, U.S. Department of Labor, and other federal agencies, including prohibited transactions, fiduciary breaches, and preparation of filings under agency voluntary correction programs.
As part of BHBC’s comprehensive employee benefits practice, BHBC assists plan fiduciaries to ensure their plan oversight satisfies ERISA’s standards. We provide ongoing support, advice, and training to plan fiduciaries. We prepare clear and concise participant communications to comply with federal reporting and disclosure requirements and, when push comes to shove, we assist employers in handling benefit claims. In addition, BHBC attorneys provide advice about compliance with ERISA’s claims procedures.
With respect to the increasingly complex federal mandates governing group health plans, BHBC prepares health plan documents and participant communications for legal compliance and advises plan sponsors regarding compliance with COBRA, FMLA, USERRA, HIPAA, the ACA, and other state and federal laws.
